The Company
The purpose of the Company is to facilitate the growth and sale of Sweet White Lupin to meet existing demand through an aggressive seed multiplication program and to establish Sweet White Lupin as an important internationally traded food commodity. The Company, along with European brokers and investment bankers, is a co-founder of the International Lupin Exchange, expected to be established in July 2002, in Vienna, Austria. Trading in Sweet White Lupin oil, flour, fiber, seed and bean futures is expected to begin July 1, 2002. It is anticipated that all transactions after July 1 will be conducted on the International Lupin Exchange. Members of the Exchange are Lupin farmers, grain elevator operators, oilseed, and grain processors and other brokers, traders and agents, all of whom serve as buyers and sellers of Sweet White Lupin seeds, beans, by-products and derivatives. The Company processes the beans that it acquires from Lupin farmers into oil, flour and fiber, and resells its products to downstream food processors and manufacturers for further processing into over 400 different food and industrial products. The International Lupin Exchange, though not critical to the success of the Company, is an important market mechanism for the distribution of commodities on a national and international scale. While it is possible for the Company to be equally successful working directly with growers, brokers, food processors, governments and emergency food relief agencies, the impact of Sweet White Lupin as an important world food commodity would be lessened and its timetable slowed. A central marketplace for clearing trades and transactions has evolved for every other significant food commodity. It is important to note that the Lupin Bean is the only major world food crop currently not served by or traded on an international commodity exchange. In terms of its Corporate Culture, Good Grains International Inc. is dedicated to sustainable earth-friendly agriculture recognizing the critical need for environmental responsibility among companies and nations. As integral to any healthy, long-term global economic strategy, the Company also emphasizes ethical employment practices and intends to establish attractive employee compensation and equity participation programs commensurate with accepted standards and practices for comparably sized companies in the same or similar industries. To best exploit the market potential, the Company will be organized into four divisions:
